Preliminary Report of the Governance and Management Task Force

      Transition in the District Structure

      If GMTF proposals concerning district structures are approved by the Society Board in Montreal, districts would then be free to make changes in their boards as soon as 2004. By 2005, however, each district must have a board that consists of a president, executive vice president, immediate past president, secretary, and any number of board members at large. Insofar as their board responsibilities are concerned, board members at large wear no other hat even though they may hold another functional position in the management structure. The GMTF recommends that the district keep the board small, with no more members than necessary to do the job. While it is understood that districts will need a treasurer, the GMTF has not mandated that he must be a member of the board of directors—i.e., performing a governance function. This is a district option and the recommended bylaws change has been worded to give the district the flexibility to have him on the board as an at-large member.

      Beginning in 2005 at the latest, each district should have a district operations team whose composition is left to each district. In effect, the districts already have this, so no change is mandated. The expectation of the GMTF is that district operations teams will be distinctly separate from district boards, freeing these men up to do the business of the district without having the distractions or time commitments of governance. In phase two we will work through more supportive recommendations on how districts might transition into and conduct the operations team functions.

      Beginning in 2004, districts may replace the House of Delegates with a Council of Chapter Presidents. The council can meet in subgroups at the discretion of the district. It can take actions by email or in person. It is expected that the council’s face-to-face meetings would not be restricted to district conventions. In phase two we will work through more supportive recommendations on how districts might transition into and conduct this function.

      District Trainers

      During phase two we will partner with the CSLT Committee to more thoroughly flesh out and structure the district-centered training function and how it should proceed.
